Terms of Service

These Terms of Service ("Terms") govern your use of the Zyncode Solution website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Services

Zyncode Solution provides custom software development services including but not limited to mobile app development, web development, AI/ML development, cloud solutions, UI/UX design, and technology consulting. Specific services, deliverables, timelines, and payment terms are defined in individual project agreements.

2. Intellectual Property

2.1 Your IP

Upon receipt of full payment, all custom code and deliverables created specifically for your project become your property. Zyncode Solution transfers all relevant intellectual property rights to you.

2.2 Our IP

Any pre-existing tools, frameworks, libraries, or methodologies we use remain our property. We grant you a perpetual license to use these as part of the delivered project.

3. Payment Terms

  • Standard terms: 50% upfront, 50% upon delivery
  • Milestone-based payments available for projects over $20,000
  • Invoices are due within 7 days of issuance
  • Late payments accrue 1.5% monthly interest

4. Confidentiality

Both parties agree to keep confidential all non-public information shared during the project engagement. This obligation survives the termination of our agreement for a period of 5 years.

5. Warranties and Disclaimers

We warrant that deliverables will function as specified in the project agreement for 90 days post-delivery. We will fix bugs at no charge during this period. After 90 days, bug fixes are subject to our standard support rates.

THE WEBSITE AND GENERAL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

6. Limitation of Liability

Zyncode Solution's liability for any claim arising from a project is limited to the total amount paid for that specific project. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate a project agreement with 30 days written notice. Upon termination, you pay for work completed to date. Completed code and assets will be transferred proportionally.

8. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration under Indian Arbitration and Conciliation Act, 2015, in Hyderabad, India.

9. Governing Law

These Terms are governed by the laws of the State of Telangana, India. You consent to jurisdiction in Hyderabad, India for any disputes.

10. Changes to Terms

We reserve the right to update these Terms. Continued use of our website constitutes acceptance of updated Terms.
